Legal Counsel – Lithuania (Corporate & Real Estate)

You will provide day-to-day legal support to our Lithuanian business covering corporate matters of our project companies and the real estate work behind our projects – from development through construction. You will work independently on your matters, reporting regularly to the Legal team at our European hub in Warsaw and closely with local development and construction teams.

WHAT YOU WILL DO:
Corporate

• Manage corporate housekeeping of Lithuanian project companies (UABs): resolutions, articles of association, Register of Legal Entities filings, changes to capital and management
  
• Support post-acquisition integration: corporate restructuring, intragroup agreements, follow-up of SPA obligations
  
• Advise on regulatory and compliance matters, including national security compliance checks for energy investments, where applicable
  

Real estate & permitting

• Draft, review and negotiate land leases, servitudes and other land-use agreements (private and state land) for wind, PV and BESS projects
  
• Analyse real estate issues affecting permitting: territorial planning documents, change of land use purpose, EIA decisions, building permits, grid connection routes
  
• Liaise with the National Land Service, municipalities, notaries and surveyors
  

Construction

• Support construction of our first wind farm: land access, real estate and permitting issues, review of related parts of construction and grid connection documents
  

Reporting & general

• Report regularly to the European hub in Warsaw on status, risks and open issues; escalate key decisions in line with internal procedures
  
• Adapt Group templates and guidance to Lithuanian law and monitor relevant legal changes

• Lithuanian-qualified lawyer (Master's degree in Law from a Lithuanian university)
  
• 5–10 years of experience in corporate and real estate law
  
• Previous in-house experience
  
• Strong knowledge of Lithuanian corporate law and real estate law – leases, servitudes, land registration, territorial planning
  
• Fluent English
  
• Strong drafting and negotiation skills
  
• Ability to work independently while keeping a remote, international team well informed
  
• Clear, practical communication with non-lawyers
  

NICE TO HAVE

• Membership of the Lithuanian Bar (advokatas)
  
• Experience in renewable energy or infrastructure projects
  
• Familiarity with renewable energy legislation and grid connection procedures (ESO / Litgrid)
